Why would I sell my business?
Very much like any other possesion, a business is a temporary presence in our lives. The only variables are when, how and for what price will we separate from it. The reasons for this separation may be related to our personal life or to the evolution of the business itself. The sale can be planned, so it will close within your terms; otherwise, it may come as a surprise, forcing you to come in second place.
How do I sell my business?
The Romanian legislation and tax system regulate business transfers. In addition to transfering the shares, there are other, much safer and cheaper methods available. In order to avoid paying taxes (VAT, for example), an intermediary is required to guarantee that when closing the transaction, both parties will be satisfied, according to the contract between them. This is our specialty!
When is it the right time to take the plunge?
A business is marketable at its highest value when it is operational and has 2, 3 years of annual growth of at least 10%. It is then sold as a "functional car", not just for "spare parts", i.e, for the value of its assets. Business preparation can be a complex and time-consuming process, with many implications, some of which are quite subtle, such as the existence of clear business operating procedures, which will ease the transition to the new management.
How do I set the right price?
A business that is a consolidated mechanism over time, consisting of customers, suppliers, product / service, brand, market share, which produces constant and growing profit, has a Goodwill value at the best possible price. It does not matter what the value of the tangible assets is, but the way in which these assets are capable of generating a maximum and constant profit. This set will determine a selling price based particularly on intangible assets. In fact, that is how you sell a business.
